Corporate Governance and Anti-Corruption Activities

Orientation on Good Corporate Governance Principles

In 2025, the Company continuously organized introductions to the Corporate Governance Policy and Code of Conduct through Day-1 Orientation course to ensure that staff at all levels understand and can properly comply with the Corporate Governance Policy and Code of Conduct. The content covers various guidelines, including conflict of interest prevention, insider trading prevention, anti-corruption measures, management of confidential information affecting securities prices, as well as other important practices. Additionally, the Company Governance division, in collaboration with Banpu People, developed learning materials and communication documents in various formats through the Company’s Internal Portal to disseminate these guidelines to all directors, executives, and employees (100%) for study and understanding, along with monitoring to ensure that all new directors, executives, and employees throughout the year acknowledge and sign their commitment to comply with these policies.

Internal Communication through the Theme “Pulse of Ethics”

The Company organizes communication activities to create engagement in various formats, such as case study reading, video viewing, quiz competitions with prizes, photo contests, annual corporate governance knowledge competitions, etc., to present information on good corporate governance practices and promote a corporate governance culture within the organization under the theme “Pulse of Ethics”. In 2025, the Company focused on instilling ethical attitudes and decision-making, as well as raising awareness among staff at all levels regarding good practices in accordance with the Company’s Code of Conduct. Furthermore, the Company Governance Division has established a CG Library through the organization’s Internal Portal to serve as a repository for relevant policies and guidelines, as well as information and news on the Company’s good corporate governance that directors, executives, and employees throughout the organization can access and search according to their interests.

Training on Good Corporate Governance Principles

The Company continuously provides training on good corporate governance principles and various practices according to the Code of Conduct through the Company’s internal courses. The Company organizes learning and testing on these matters through the CG E-Learning and E-Testing systems, incorporated as part of the Banpu Essential Program, for all directors, executives, and employees to use as a tool to review important policies on good corporate governance that must be strictly adhered to and complied with. Furthermore, in 2025, the Company also organized Onsite Workshops conducted by internal trainers under the topic “Begin with Corporate Governance and Banpu Heart in Mind” for new executives and employees throughout the year, to create in-depth understanding of corporate governance practices and decision-making approaches aligned with ethics and corporate values (Banpu Heart) through simulated scenarios and various case studies, such as insider trading prevention, conflict of interest, anti-corruption, guidelines for receiving or giving gifts and hospitality, whistleblowing, etc. These activities were held 4 times with a total of 73 participants.

CG Day Event

The Company organized CG Day on October 20, 2025, an annual event held to instill awareness among staff at all levels regarding the importance of business ethics under the theme “Pulse of Ethics”. This year, the event was held in a hybrid format to accommodate current working styles, with a total of 423 directors, executives, and employees participating (both online and onsite). The event featured vision presentations from the Group’s senior executives, namely Mr. Jirameth Achcha, Head of Corporate Services and Mr. Smittipon Srethapramote, CEO – Banpu NEXT Company Limited, along with a keynote session on the topic “Ethics in Action For Long-Term Business Growth: How to Deal with Ethical Issues in Your Workplace” by Mr. Thodsaporn Rattanamastip, Former EVP of Bank of Ayudhya Public Company Limited, to promote knowledge and understanding of ethical decision making approaches and fraud prevention within the organization. The content aligned with the practices outlined in the Company’s Code of Conduct and Anti-Corruption Policy.

Anti-Corruption

The Company conducts annual corruption risk assessments and improves prevention approaches. These assessments cover subsidiaries and joint ventures in all countries where the Company operates. Additionally, the Company continuously communicates knowledge to directors, executives, and employees at all levels regarding anti-corruption practices and related policies, such as practices under the Anti-Corruption Policy concerning the giving and receiving of gifts, entertainment, or other benefits. In 2025, the Company still maintain its membership status in the Thai Private Sector Collective Action Against Corruption (CAC) for the third term.
