The Principles of Good Corporate Governance
The company continuously provides training on good corporate governance principles and introduces the code of conduct in the company’s orientation program. In 2024, the company has established monitoring of compliance with corporate governance policies and the code of conduct, which covers adherence to guidelines for preventing conflicts of interest, preventing the use of inside information, managing confidential information that affects securities prices, and other important practices. The Corporate Governance Department, in collaboration with the Human Resources Department, created various learning materials and promotional documents through the company’s Internal Portal to clarify important guidelines to all directors, executives, and employees (100%), enabling them to study, understand, and become aware of the importance of complying with the company’s policies. The company also organized orientation activities and followed up to ensure that all new directors, executives, and employees who joined during the year signed acknowledgments of compliance with the guidelines in these policies.
In addition, the company has established learning modules and testing on these matters through the CG E-Learning and E-Testing systems, providing all directors, executives, and employees with tools to review important policies that must be strictly adhered to and followed.
“CG Whistle Guard” Internal Communication
The company arranges various communication activities to present information on good corporate governance practices, as well as promote organizational culture and corporate governance mindset within the organization under the “CG Whistle Guard” concept through collaboration with ITM Indonesia. This year, the company focuses on promoting the Whistleblower Policy, including encouraging employees to recognize the importance of complying with CG Policy and Code of Conduct.
CG Day 2024
The company organized CG Day on October 7, 2024, an annual event aimed at instilling awareness among employees at all levels about the importance of business ethics. This year, the event was held in a hybrid format to accommodate current work arrangements. The activity had more than 244 executives and employees participating. The event’s activities included presentations of vision statements by the group’s senior executives and a session on ‘Strengthening Integrity: Anti-Corruption Reform for Effective Governance’ by Asst. Prof. Dr. Torplus Yomnak.
Anti-Corruption Program
The company conducts annual corruption risk assessments and updates its prevention guidelines regularly. These assessments cover subsidiaries and joint ventures in all countries where the company operates. Additionally, the company continuously communicates with employees about anti-corruption practices and related policies, such as guidelines on anti-corruption policy regarding giving-receiving gifts, entertainment, or other benefits. In 2024, the company received its third consecutive re-certification as a member of the Thai Private Sector Collective Action Against Corruption (CAC).
